Japanese M&A enters new era under METI’s takeover blueprint

Jamie published an opinion editorial in Nikkei Asia examining how Japan’s 2023 takeover guidelines are reshaping the M&A environment, making unsolicited bids harder for boards to ignore. Using Seven & I Holdings as a standout example, the piece shows how new expectations around independent special committees, clearer definitions of “corporate value,” and rising shareholder scrutiny are pushing companies to engage more transparently with takeover approaches. The editorial also points to the cultural and incentive shifts still needed for this momentum to stick,  including better alignment between management and shareholders, and argues that a healthier market for corporate control can ultimately lift outcomes for investors, employees, and the broader economy.
